By accessing our website or engaging our property rental services, you agree to these Terms and Conditions. This agreement forms a binding contract between you and Sapphire Villas, a property rental service operating in Koh Samui, Thailand.

If you do not agree with any part of these terms, please do not use our services. We reserve the right to modify these terms at any time, and your continued use of our services constitutes acceptance of any changes.

2. Definitions

Throughout these terms:

  • "We," "us," "our," refers to Sapphire Villas
  • "You," "your," refers to the individual or entity using our services
  • "Services" means our property rental assistance, including property search, viewing coordination, lease facilitation, and settling support
  • "Property Owner" means the individual or entity owning or managing properties we present
  • "Client" means any person engaging our services for property rental purposes
  • "Agreement" refers to these Terms and Conditions

3. Service Description

Sapphire Villas provides property rental assistance services in Koh Samui, Thailand. Our services include:

  • Property search and presentation based on your stated preferences
  • Coordination of property viewings with owners
  • Facilitation of communications between you and property owners
  • Review and explanation of lease agreements
  • Assistance with settling processes and community connections

We act as intermediaries facilitating property rental arrangements. We do not own the properties we present, and final rental agreements are formed directly between you and property owners.

Service availability may vary based on property market conditions, seasonal factors, and individual circumstances. We cannot assure specific outcomes or timeframes for property searches.

4. Eligibility and Capacity

To use our services, you must:

  • Be at least 18 years of age
  • Have legal capacity to enter into binding agreements
  • Provide accurate and truthful information
  • Comply with all applicable Thai laws and regulations
  • Have legal authorization to reside in Thailand for the lease duration you're seeking

By using our services, you confirm that you meet these requirements and will maintain compliance throughout our engagement.

5. Client Responsibilities

When engaging our services, you agree to:

  • Provide accurate information about your property requirements and circumstances
  • Communicate honestly about your budget and timeline
  • Attend scheduled property viewings or notify us promptly if unable to do so
  • Treat property owners and their properties with respect during viewings
  • Review all lease documents carefully before signing
  • Pay agreed service fees according to the terms specified
  • Inform us promptly of any changes to your requirements or circumstances
  • Comply with all terms of any lease agreement you enter into
  • Respect Thai cultural norms and property rental practices

6. Service Fees and Payment Terms

Service fees vary based on the level of assistance you select:

  • Island Property Discovery: ฿13,500 - Payable upon service completion
  • Relaxed Rental Coordination: ฿40,000 - Payable upon lease signing
  • Complete Island Transition: ฿62,000 - Payable 50% upon engagement, 50% upon successful lease completion

Payment terms:

  • All fees are stated in Thai Baht (฿)
  • Payment accepted via bank transfer or other agreed methods
  • Service fees are separate from property deposits and rental payments
  • Fees are non-refundable once services have commenced, except as specified in our refund policy

Refund Policy: If you decide not to proceed with our services before we begin property presentations, you may receive a full refund. Once property search activities have begun, fees are non-refundable as our time and resources have been allocated to your search.

7. Property Information and Accuracy

While we strive to provide accurate information about properties:

  • Property details are provided by owners and verified to the best of our ability
  • Property conditions may change between our verification and your viewing
  • We recommend personal inspection of any property before commitment
  • Measurements, descriptions, and amenity listings may contain minor inaccuracies
  • Photos may not reflect current property condition

We encourage you to verify all material facts about any property during viewings and before signing lease agreements. We are not liable for discrepancies between property presentations and actual conditions.

8. Relationship with Property Owners

Our role is to facilitate connections between you and property owners. We are not:

  • Legal representatives of property owners
  • Responsible for property maintenance or condition
  • Parties to lease agreements between you and property owners
  • Responsible for owner conduct or compliance with lease terms

Lease agreements are formed directly between you and property owners. While we facilitate these arrangements and review lease terms, final responsibility for agreement terms rests with you and the property owner.

9. Disclaimers

Our services are provided on an "as is" and "as available" basis. We make no assurances regarding:

  • Finding properties meeting all your requirements
  • Specific timeframes for successful property matches
  • Property owner behavior or lease compliance
  • Long-term suitability of any property for your needs
  • Property market conditions or rental prices
  • Continuation of your satisfaction with island living

We provide professional guidance based on our knowledge and experience, but we cannot control external factors affecting property availability, rental markets, or individual satisfaction.

10. Limitation of Liability

To the maximum extent permitted by Thai law:

  • Our total liability for any claim arising from our services shall not exceed the fees paid by you for those specific services
  • We are not liable for indirect, consequential, or incidental damages
  • We are not responsible for property owner actions or lease agreement breaches
  • We are not liable for dissatisfaction with properties after lease signing
  • We are not responsible for changes in personal circumstances affecting lease suitability

This limitation applies regardless of the legal theory on which claims are based, whether contract, tort, negligence, or otherwise.

11. Indemnification

You agree to indemnify and hold Sapphire Villas, its officers, employees, and agents harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your breach of these Terms and Conditions
  • Your violation of any laws or regulations
  • Your conduct during property viewings or interactions with property owners
  • Disputes with property owners regarding lease agreements
  • Inaccurate information you provided to us

12. Intellectual Property

All content on our website and in our communications, including text, graphics, logos, and images, is owned by Sapphire Villas or used with permission. You may not:

  • Copy, reproduce, or distribute our content without permission
  • Use our business name or branding for any purpose
  • Create derivative works from our materials
  • Use automated systems to access or collect information from our website

13. Termination

Either party may terminate our service relationship with written notice. However:

  • Service fees already incurred remain payable
  • Ongoing property search activities will conclude within a reasonable timeframe
  • We may terminate services immediately if you breach these terms
  • Certain obligations, including confidentiality and indemnification, survive termination

Upon termination, we will provide any property information already gathered but have no obligation to continue search activities.

14. Dispute Resolution

If disputes arise regarding our services:

  • We encourage initial informal resolution through direct communication

If informal resolution is unsuccessful, disputes shall be resolved through:

  • Governing Law: Laws of Thailand
  • Jurisdiction: Courts of Surat Thani Province, Thailand
  • Language: Proceedings conducted in Thai or English as appropriate

15. General Provisions

Entire Agreement

These Terms and Conditions, together with our Privacy Policy, constitute the complete agreement between you and Sapphire Villas regarding our services.

Severability

If any provision of these terms is found invalid or unenforceable, the remaining provisions continue in full effect.

Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer your rights or obligations under this agreement without our written consent. We may assign our rights and obligations with notice to you.

Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, government actions, or other force majeure events.

16. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. When we make changes:

  • We will update the "Last Updated" date at the top of this page
  • Significant changes will be communicated via email to active clients
  • Continued use of our services after changes constitutes acceptance
  • Changes apply to services engaged after the effective date
